Last updated on 01 June 2025 TERMS OF USE These terms of use (“Terms”) mandate the terms on which Users (collectively referred to a s “you” or “your” or “yourself”) may access or use the website (www.stage.in) and mobile application (available on Google Play Store and Apple app store) (collectively referred to as “Platform”) which is owned, operated, licensed and controlled by Catchup Technologies Private Limited under the brand name “STAGE” (“we”, “our”, “us”, or “Stage”). (You and Stage are collectively referred as “Parties”). These Terms are an electronic record in terms of the Information Technology Act, 2000 and rules made thereunder as applicable. The Terms are (i) published in accordance with the provisions of Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and (ii) generated by a computer system and do not require any physical, electronic, or digital signatures. Please read the Terms and privacy policy (“Privacy Policy”) carefully before using, accessing, or installing the Platform. By accessing the Platform, you accept these Terms and the Privacy Policy and agree to be legally bound by the same. Stage retains an unconditional right to modify or amend these Terms and the Privacy Policy and will notify you of the same. You can determine when these Terms were last modified by referring to the “Last Updated” legend above. It shall be your responsibility to check these Terms and the Privacy Policy periodically for changes. Your acceptance of the amended Terms shall signify your consent to such changes and agreement to be legally bound by the same. Definitions Applicable Law: means all applicable acts of legislature, bye-laws, laws, ordinances, notifications, regulations, rules, statutes, directives, or orders of governmental authorities, tribunals, boards, courts, and applicable international treaties and regulations, in force in India. Billing Cycle: means the time for which a User on Subscription has access to, and can view/stream/download Content on the Platform. This period will be determined in accordance to Clause 7 of these Terms. Content: means all text, audio, and audio-video content made available on the Platform, in formats like long-duration web series, movies, short films, standup comedians, poetry, folk, etc. Devices: means any electronic device such as mobile phones, tablets, smart televisions, computers and laptops, set top boxes and various other devices on which Stage is embedded or otherwise made available. Grievance Redressal Officer: means officer appointed by Stage for addressing the grievance raised by Subscribers. Grievance Redressal Policy: means the grievance redressal policy which provides a process for resolution of queries or concerns of Subscribers. Intellectual Property Rights: means rights relating to copyrights, trademarks, service marks, trade dress, logos, domain names, design rights, database rights, patents, together with any translation, adaptation and combination of such rights and including any associated goodwill and all other intellectual property rights of any kind whether or not they are registered or unregistered (anywhere in the world). Platform: means the Company’s website, mobile application and related software, web-pages, interfaces or technology through which the Users access Content. Profile: means the registered account created by a User for accessing the Services on the Platform. Subscriber: is a User who makes a Profile on the Platform and avails the Subscription as per the Subscription plan, in accordance to Clause 7 of these Terms. Subscription: has the same meaning as under Clause 7 of these Terms. Users: means any individual who accesses the Platform. Eligibility The Platform is available to Users who have attained the age of majority (i.e., 18 years or older) in the respective jurisdiction. If you are under the relevant age of majority in your jurisdiction, you may only use the Platform and Service with the consent, supervisions and involvement of your parent/legal guardian and in accordance with Applicable Law. The Content on Platform can be viewed/streamed/downloaded only on Subscription. SOME CONTENT PROVIDED ON THE PLATFORM MAY NOT BE SUITABLE FOR SOME VIEWERS. THEREFORE, VIEWER DISCRETION IS ADVISED. ALSO, SOME CONTENT OFFERED ON THE PLATFORM MAY NOT BE APPROPRIATE FOR VIEWERSHIP BY CHILDREN. PARENTS AND/OR LEGAL GUARDIANS ARE ADVISED TO EXERCISE DISCRETION BEFORE ALLOWING THEIR CHILDREN AND/OR WARDS TO ACCESS CONTENT ON THE PLATFORM. Services Stage is an Over-The-Top (“OTT”) platform, which provides access to Subscribers to view/stream/download Content made available, through the Platform. Users with Subscription, in accordance to these Terms, get to: Access and view/stream Content through the Platform using supported Devices, Access and view/stream Content which is made available on the Platform from time to time, in formats like long-duration web series, movies, short films, standup comedians, poetry, folk, etc., and Avail promotional offers or schemes made available over the Platform, at the sole discretion of Stage. User Registration Any User who is eligible in accordance with Clause 2, can register on the Platform. The User must provide all necessary details required for registration, which may change at the sole discretion of Stage. On registration, a User will be able to make a Profile on the Platform, in order to Subscribe for accessing, viewing or downloading the available Content. Only registered users can Subscribe to the Platform for accessing/viewing/downloading Content. Ownership The Content on the Platform and all copyrights, patents, trademarks, service marks, tradenames and all other Intellectual Property Rights are owned by Stage and/or its licensors or group companies and are protected by the Applicable Laws. Limited License Grant and Restrictions Subject to these Terms and conditions provided, and during the period of your Subscription, we hereby grant you, a limited, conditional, revocable, non-exclusive, non-transferable, non-assignable, worldwide, royalty- free license (“License”) to access and view/stream/download the Content solely for your own personal, non-commercial purposes. No rights, title or interest in the Platform, Services or Content will be deemed or construed to be transferred to you. You may own the Device on which elements of the Platform are made available to you, but we will retain full and complete ownership and/ or control of the Platform, Content and Service, and all the Intellectual Property Rights therein. Subscription and Cancellation Subscription: Access to Content made available on Stage, through the Platform, is available on a subscription basis, and in accordance with the following Subscription Plans: Trial Period (for 7 days): INR 1 Monthly: INR 199 Quarterly: INR 399 Price changes: Stage reverses the right to change the prices of the Subscription Plan in its sole discretion and at any time. In the event of a price change, the existing Subscribers will continue to pay by the rate agreed to as per their Subscription Plan, until their current Subscription expires (i.e. at the end of the current Billing Cycle). After the end of the current Subscription, if you choose to renew the Subscription, it will be at the updated pricing. Billing Cycle: Your Subscription will be valid of a definite period, in accordance to the Subscription Plan chosen. You will have the option of automatic renewal of the subscription through your preferred payment mode and your Subscription will be automatically renewed at the end of the Susbcripotion Plan period, unless the Subscription is cancelled (in accordance to the clause below). Stage will send you a reminder SMS/notification, one day before the autopayment and automatic renewal of the Subscription, for the upcoming Billing Cycle. Cancellation: You may cancel your Subscription at any time through the account setting in your Profile on the Platform. Cancellation will take effect from the end of the current Billing Cycle, and you will retain access to the Content available on Subscription, until that time. On Cancellation taking effect, your Profile will be accessible, but no Content on the Platform (available on Subscription) will be available to access/view/stream. After Cancellation, you will not be charged for any upcoming Billing Cycle, unless the Subscription is renewed (in accordance with the Subscription Plan). Cancellation of autopayment: You can cancel autopayment and automatic renewal of Subscription, at the end of the Billing Cycle, any time before the scheduled date of billing (the last date of the Billing Cycle). To cancel autopayments, Subscribers can access their account settings on the Platform and disable the autopayment feature. Additionally, Subscribers can contact our customer support team for assistance with cancelling autopayments. On cancellation of autopayment, there will be no deduction and no automatic renewal of Subscription. In accordance with Clause regarding Cancellation above, the Subscription will stand cancelled, unless renewed. Refund: Once you have paid for Subscription, by choosing a particular Subscription Plan, the payment is non-refundable. In accordance with Clause regarding Cancellation above, you will have access to, and can view/stream/download available Content on the Platform, for the duration of the Subscription Plan. There is no refund which Stage will be liable to repay for (i) partially used periods, (ii) unwatched content, (iii) changes on the content offering by Stage, (iv) discontinuation of certain services on Stage and (v) inaccessibility of Stage owing to technical reasons or otherwise etc. Termination of Subscription: Stage reserves the right to terminate any Subscription, at any time, any without prior notice, refund, or liability, if there is any evidence of breach of these Terms or any Applicable Law. This measure is taken to maintain a safe and respectful environment for all Subscribers. Subscriber responsibility Profile safety: The safety of the Profile credentials required for accessing, viewing and/or downloading Content through the Platform, is the sole responsibility of the Subscriber. You are responsible for maintaining the confidentiality of your Profile credentials and for any activities that occur under your Profile. Subscribers are cautioned to immediately notify us in case of unauthorized use of your Profile. Conduct on the Platform: By using our Services and accessing the Platform, you agree, not to: Violate any of the terms under these Terms, Use the Services for any illegal or unauthorised purposes. Share access to your Profile credentials with others (for consideration or not). Upload, post, or transmit any content that is abusive, defamatory, or harmful to others. Engage in any conduct which may be deemed as inappropriate behaviour, or which interferes with the performance or the availability of the Service, or the functioning of the Platform. Disclaimer of Warranties You agree that by accessing, using and Subscribing to Stage, you are doing so at your own risk. The Service is provided on an “as is” and “as available” basis without any warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted or error-free or that defects will be corrected immediately. We will make all reasonable efforts to rectify any errors or defects at the earliest possible. You waive all special, indirect and consequential damages against us. These terms will not limit any non-waivable warranties or mandatory consumer protection rights that apply to you. Limitation of Liability To the fullest extent permitted by law, Stage and its employees, directors, officers, and agents will not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the Service. Indemnification You shall indemnify, defend and hold harmless Stage and its employees, directors, officers, and agents from and against any claim, loss, actions, damages, penalties, liability, expenses, cost (including reasonable attorneys’ fees and court fees) arising out of (i) your access, use or Subscription to the Services; (ii) any breach of warranty, representation, obligation, or undertaking made by the you under these Terms; (iii) the misconduct or negligent acts or omissions by you; or (iv) any breach of applicable law or third party rights by you. Grievance Redressal Mechanism If you have any complaints, concerns, or grievances with respect to the Content available on the Platform, you may reach out to our Grievance Officer. Upon receipt of your complaint, we will acknowledge it within 24 hours and endeavour to resolve your issue within 15 days, in compliance with Applicable Law. Category of the complaint (e.g., classification of content, age rating, or content-related issues). A brief summary of the complaint. For any other technical issues or concerns, such as subscription problems, app functionality, or login issues, please contact our customer support team. Violation of the Terms You agree that any violation by you of these Terms will constitute an unlawful and inappropriate behavior, and will cause irreparable harm to us, for which monetary damages would be inadequate, and you consent to Stage obtaining any injunctive or equitable relief that they deem necessary or appropriate in such circumstances. These remedies are in addition to any other remedies that we may have at law or in equity. Governing Law and Jurisdiction These Terms and your use of the Service are governed by the laws of India without reference to conflict of law principles. In case of any disputes arising out of, or relating to these Terms, or the Services (collectively “Dispute”), the Parties will aim to resolve the dispute in good faith within 30 (thirty) days from receipt of notice of dispute by either you or Stage. In case of non- resolution, the Dispute will shall be finally resolved and settled by referring the matter to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (including any statutory modification(s) or re-enactment thereof) and shall be referred to a sole arbitrator nominated and appointed by with the mutual consent of the Parties. The venue for the arbitration will be New Delhi, India, and the language for the arbitral proceedings will be English. Notwithstanding anything stated herein, you agree that the courts of New Delhi, India will have jurisdiction in regard to any interim relief sought, during the course of the arbitration proceedings. General Provisions Severability: If, for any reason, a court of competent jurisdiction finds any provision of these Terms, or any portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the Parties as reflected by that provision, and the remainder of the Terms shall continue in full force and effect. Waiver: Any failure by Stage to enforce or exercise any provision of the Terms, or any related right, shall not constitute a waiver by us of that provision or right. Survival: All provisions of these Terms which by their very nature are intended to survive the expiry or early termination of these Terms shall survive the expiry or early termination of these Terms, including without limitation, the provisions of Clause 10 (Limitation of Liability), Clause 11 (Indemnification), Clause 14 (Governing Law and Jurisdiction) and Clause 15 (General Provisions). Notices: All notices, writings and other communications under these Terms will be communicated to you by registered email, or by general notification through the Platform.
